Joining our Board

We are seeking new trustees to join our established and dedicated Board in December 2023. The Board, which currently has 7 members, meets quarterly

 

We are particularly interested in applications from those who individually have knowledge and expertise in the following areas: artist and printmaking practice, arts management and administration. We are also keen to recruit representative young people aged 18-24 years.

The Roles and Responsibilities of the Soulisquoy Board

The role of the Soulisquoy Board is to:

  • Ensure that Soulisquoy functions within the legal and financial requirements of a company and charitable organisation

  • Be responsible for the overall governance and strategic direction of Soulisquoy

  • Approve the annual accounts

  • Represent and promote Soulisquoy externally

  • Assist in fundraising from the public and private sectors

  • Observe the Memorandum and Articles of Association (Soulisquoy’s regulatory governing documents)

  • The Board includes members with special responsibilities and roles, the key roles being Chair, Company Secretary, Company Treasurer.

Trustee role description

The statutory duties of each Soulisquoy trustee are to:

  • Ensure that Soulisquoy complies with its governing document, charity law, company law, and any other relevant legislation or regulations

  • Ensure that Soulisquoy pursues its objects as defined in its governing document

  • Ensure that Soulisquoy applies its resources exclusively in pursuance of its objectives

  • Contribute actively to the Board’s role in giving firm strategic direction to the organisation, setting overall policy, defining goals, setting targets, and evaluating performance against agreed targets

  • Safeguard Soulisquoy’s good name and values

  • Ensure the effective and efficient administration of Soulisquoy

  • Ensure the financial stability of Soulisquoy

  • Protect and manage the property of Soulisquoy and ensure the proper investment of its funds

  • In addition to the above statutory duties, each Board member should use any specific skills, knowledge or experience they have to help the Board reach sound decisions.

This may involve:

  • Scrutinising board papers

  • Providing guidance on new initiatives

  • Other issues in which the Trustee has special expertise

Trustee specification

  • A commitment to Soulisquoy and its work

  • Willingness to devote time and expertise

  • Experience of developing a strategic vision

  • Good, independent judgement

  • The ability to think creatively and share ideas

  • Willingness to speak their mind

  • Understanding and acceptance of the legal duties, responsibilities and liabilities of trusteeship

  • The ability to respect confidences

  • The ability to work effectively as a member of a team

  • Willingness to act as an ambassador for Soulisquoy

  • Adherence to the three Fundamental Principles of Board Life: Corporate Responsibility, Confidentiality, and Conduct, as described in the On Board – a Guide for Board Members of Public Bodies in Scotland (Scottish Government April 2015)

Terms of appointment

Soulisquoy Trustees are appointed for a three-year period. A maximum of two terms of three years can be served.  This is a voluntary position and is not remunerated.
